VIP Day  - Terms & Conditions

Between:
ActiCode LLC (hereinafter, “Tu Aliada Virtual” or the “Service Provider”), and the “Client”.

1. Purpose of the Agreement

By signing this Agreement, the Client engages Tu Aliada Virtual to provide a VIP 1:1 Intensive Day, designed as a continuation of the Copilot program.

This service consists of working exclusively on the Client’s project with the purpose of implementing the most critical elements of their digital business.

The service includes:

• Pre-VIP 1:1 strategy session (30–45 min alignment).
  
  
• One full intensive day (7+ hours) of exclusive dedication by Tu Aliada Virtual’s team.
  
  
• Post-VIP 1:1 session (30 min follow-up and next steps).
  
  
• Exclusive communication support via WhatsApp or SMS during the process.
  
  
• 14 days of post-intensive support via email and messaging.
  
  
• Basic tutorials for the Client’s Kajabi account.
  
  
• Step-by-step guides for continuing implementation after the VIP day.
  
  

2. Expected Outcomes

During the VIP Day, Tu Aliada Virtual will work intensively with implementation of the priorities and tasks agreed upon during the prior planning session.

The scope of the outcomes will be strictly limited to the list defined jointly in that session and will be executed during the intensive day in accordance with the available time and resources.

3. Schedule and Modality

• The VIP Day will be delivered remotely within the agreed time frame (9:30 am – 5:30 pm EST, Wednesday to Friday).
  
  
• Specific scheduling will be coordinated with the Client at least 7 days in advance.
  
  

4. Fees and Payment Terms

• Regular fee: USD $1,850
• Exclusive Copilot credits: – USD $600
• Final Client fee: USD $1,250
  
  

Payment is required at the time of booking.
The Client may choose to pay a 50% deposit and settle the remaining balance within 24 hours after the VIP Day, unless otherwise agreed in writing.

5. Additional Services

Any work beyond the scope of the VIP Day (e.g., additional campaigns, external integrations, advanced configurations) will be invoiced separately at the current hourly or project rate.

Examples of additional costs: stock images, third-party services, and external software licenses.

6. Intellectual Property

• All deliverables created specifically for the Client will become the Client’s property upon full payment.
  
  
• Tu Aliada Virtual retains ownership of its pre-existing intellectual property, know-how, and methodologies, granting the Client a limited-use license for items implemented.
  
  

7. Testimonials and Use of Client Materials

The Client authorizes Tu Aliada Virtual to use written statements, images, recordings, or testimonials derived from the VIP Day for promotional and marketing purposes, unless expressly prohibited in writing by the Client.

8. Cancellation and Deposits

• Purchases are non-refundable, but the VIP Day may be rescheduled with at least 7 days’ written notice.
  
  
• Deposits are valid for 60 days from the booking date. If the VIP Day is not scheduled within this period, the deposit will be forfeited.
  
  
• Rescheduling beyond 60 days may be subject to the current program rate, which may exceed the original fee.
  
  

9. Confidentiality

Tu Aliada Virtual agrees to keep confidential any sensitive information obtained from the Client in the course of providing services.

10. Limitation of Liability

This service is provided on a best-efforts basis. While the purpose is to deliver implementation during the VIP Day, no specific financial results, sales, or revenue outcomes are guaranteed.
